  2.           USER LICENSE AGREEMENT  
  3.           
  4.           Limited Use 
  5.           
  6.           Charlton Woolard (hereafter referred to as "Developer") hereby
  7.           grants you a limited, non-exclusive license to use "SmartBroker"
  8.           software program (hereafter the "Software"), as well as the
  9.           diskette ("Diskette") and the printed documentation
  10.           ("Documentation") contained in the accompanying binder, in the
  11.           manner described in this Agreement. The Software and
  12.           Documentation are copyrighted and all rights are reserved to
  13.           "Developer" or the parties under whose license "Developer"
  14.           provides the Software (the "Software Originators"). You may use
  15.           the Software only on a single machine with one input terminal.
  16.           All copying of the Software and the Diskette is strictly
  17.           prohibited except for loading the Software from the Diskette into
  18.           the computer memory for the purpose of executing the program and,
  19.           where the accompanying Documentation expressly permits it, for
  20.           back-up purposes in support of your use of the Software on a
  21.           single machine.  You are granted no other rights to copy,
  22.           duplicate, modify, adapt or lend, sell, or otherwise transfer the
  23.           Software, Diskette or Documentation. Further, the license of the
  24.           Software is personal to you and may not be sublicensed or
  25.           otherwise transferred to any third party. You are granted no
  26.           right to use the source code of the Software in any manner.
  27.           Database Information The Software enables you to access   
  28.           information from various databases ("Database Information"). The
  29.           Database Information is owned by certain other companies and
  30.           entities, including but not limited to various securities
  31.           markets, such as stock exchanges, and their affiliate
  32.           (collectively, "Information Suppliers"), and is protected by
  33.           copyright. The Database Information is provided solely for your
  34.           personal use, and may not be copied (except in connection with
  35.           your personal, non-commercial use of the Software),
  36.           retransmitted, sold or distributed in any way by you. The
  37.           Database Information is transmitted to you by certain entities
  38.           hereafter referred to as the "Information Transmitters."  Limited
  39.           Warranty, Limitation of Liability "Developer" warrants to you
  40.           that the Diskette (i.e., the magnetic media on which the Software
  41.           is recorded) and the Documentation will be free from defects in
  42.           materials and workmanship for a period of ninety (90) days from
  43.           the date of delivery to you, as evidenced by a copy of your
  44.           receipt (the "Delivery Date"). "Developer" also warrants to you
  45.           that the Software will perform substantially in accordance with
  46.           the Documentation for a period of three (2) years from the
  47.           Delivery Date, when used as directed. 
  48.           
  49.           THERE ARE NO OTHER EXPRESS OR IMPLIED WARRANTIES (INCLUDING
  50.           IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A
  51.           PARTICULAR USE) REGARDING THE SOFTWARE. DISKETTE OR
  52.           DOCUMENTATION, EXCEPT ANY IMPLIED WARRANTIES WHICH CANNOT BE
  53.           DISCLAIMED UNDER APPLICABLE LAW ANY SUCH IMPLIED WARRANTIES
  54.           COVERING THE DISKETTE ARE LIMITED IN DURATION TO NINETY (90) DAYS
  55.           FROM THE DELIVERY DATE. ANY SUCH IMPLIED WARRANTIES COVERING THE
  56.           SOFTWARE OR DOCUMENTATION ARE LIMITED IN DURATION TO TWO (2)
  57.           YEARS FROM THE DELIVERY DATE.
  58.           
  59.           "Developer" does not warrant that the Software will meet your
  60.           requirements or that the operation of the Software will be
  61.           uninterrupted or error free. The foregoing warranties do not
  62.           apply if you mishandle, alter or improperly use or store the
  63.           Software, Diskette, and/or Documentation. Although changes or
  64.           improvements to the Software, Diskette, and/or Documentation may
  65.           be made, "Developer" will be under no obligation to provide the
  66.           to you. "Developer" is not responsible for problems caused by
  67.           change in the operating characteristics of computer hardware or
  68.           computer operating systems which are made after the release of
  69.           the Software. No action for any breach of the above warranties
  70.           may be commenced more than one (1) year following the expiration
  71.           date of the applicable warranty.

  73.           YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY BREACH OF WARRANTY IS THAT
  74.           "Developer", AT ITS OPTION, EITHER WILL REFUND YOUR REPAYMENT FOR
  75.           THE SOFTWARE UPON YOUR RETURN OF THE DOCUMENTATION DISKETTE, AND
  76.           COPIES (IF ANY), OR WILL TAKE ONE OF THE FOLLOWING ACTIONS:

  78.           If the Diskette is not as  warranted, "Developer" will replace it
  79.           on an exchange basis without charge. If the Documentation is not
  80.           as  warranted, "Developer" will replace any defective pages or
  81.           supply addenda on an exchange basis without charge. If the
  82.           Software does not perform as warranted, "Developer" will replace
  83.           it with a new copy of the Software on an exchange basis without
  84.           charge. In addition to the foregoing warranties, if for any
  85.           reason you are not satisfied with the Software, you may return
  86.           the Documentation, Diskette and all copies (if any) made
  87.           therefrom to "Developer" within thirty (30) days of the Delivery
  88.           Date and "Developer" will refund your payment. Such a return will
  89.           terminate all your rights to use the Software.

  91.           THE DATABASE INFORMATION ACCESSIBLE WITH THE SOFTWARE IS PROVIDED
  92.           "AS IS." THERE MAY BE DELAYS, OMISSIONS OR INACCURACIES IN THE
  93.           DATABASE INFORMATION. THERE IS NO WARRANTY OR MERCHANTABILITY, NO
  94.           WARRANTY OF FITNESS FOR A PARTICULAR USE, AND NO OTHER WARRANTY
  95.           OF ANY KIND, EITHER EXPRESS OR IMPLIED, REGARDING THE DATABASE
  96.           INFORMATION.  ACCORDINGLY, THE ENTIRE RISK AS TO THE ACCURACY,
  97.           TIMELINESS, COMPLETENESS AND CORRECT SEQUENCING OF THE DATABASE
  98.           INFORMATION IS ASSUMED BY YOU. SHOULD ANY SUCH INFORMATION PROVE
  99.           DEFECTIVE, YOU (AND NOT "Developer", THE INFORMATION SUPPLIERS,
  100.           THE INFORMATION TRANSMITTERS OR ANY OTHER THIRD PARTY) ASSUME THE
  101.           ENTIRE RESPONSIBILITY FOR ITS USE AND ITS CORRECTION. IN NO EVENT
  102.           WILL "Developer", THE SOFTWARE ORIGINATORS, THE INFORMATION
  103.           SUPPLIERS, OR THE INFORMATION TRANSMITTERS BE LIABLE TO YOU OR
  104.           ANYONE ELSE FOR ANY TRADING LOSSES, LOST PROFITS, LOST DATA, OR
  105.           OTHER CONSEQUENTIAL, INCIDENTAL, SPECIAL OR INDIRECT DAMAGES,
  106.           EVEN IF SUCH DAMAGES OR LOSSES RESULT FROM A BREACH OF ANY
  107.           WARRANTY OR IF "Developer" HAS BEEN ADVISED OF THE POSSIBILITY OF
  108.           SUCH DAMAGES OR LOSSES RESULTING FROM A BREACH OF ANY WARRANTY
  109.           YOU AGREE THAT YOU WILL HAVE SOLE AND COMPLETE RESPONSIBILITY FOR
  110.           ANY DECISIONS MADE OR ACTIONS TAKEN BY YOU IN RELIANCE UPON THE
  111.           SOFTWARE, DOCUMENTATION AND/OR DATABASE INFORMATION. YOU AGREE
  112.           THAT THE LIABILITY OF "Developer", THE SOFTWARE ORIGINATORS, THE 
  113.  
  114.           INFORMATION SUPPLIERS AND THE INFORMATION TRANSMITTERS, ARISING
  115.           OUT OF ANY KIND OF LEGAL CLAIM (WHETHER IN CONTRACT, TORT OR   
  116.           OTHERWISE) IN ANY WAY CONNECTED WITH SMARTBROKER, WILL NOT EXCEED
  117.           THE AMOUNT YOU ORIGINALLY PAID FOR THE SOFTWARE.

  119.           Some states do not allow limitations on how long an implied
  120.           warranty lasts, or the exclusion or limitation of incidental or
  121.           consequential damages, so the above limitations or exclusions may
  122.           not apply to you. This warranty gives you specific legal rights,
  123.           and you may also have other rights which vary from state to
  124.           state.  No Advice By accepting this Agreement you acknowledge
  125.           that the Software is intended only to be a computation aid and
  126.           that neither it nor the Database Information accessible through
  127.           its use is intended to supply investment, tax or legal advice.
  128.           You acknowledge and agree that if you need such advice you should
  129.           consult with professional advisors, and that you will not use or
  130.           rely on the Software or Database Information to supply or
  131.           substitute for such advice. You acknowledge that changes in the
  132.           tax laws or other laws may render the Software obsolete as a
  133.           computational aid. Trade Secrets You acknowledge that the
  134.           Software contains trade secrets of "Developer" and/or the
  135.           Software Originators. You agree to take all steps necessary to
  136.           protect the Software. Documentation and Diskette, as well as any
  137.           copies thereof, from disclosure, and specifically agree not to
  138.           decompile, disassemble or reverse engineer all or any part of the
  139.           source code of the Software from the object code or other
  140.           information provided to you under this Agreement. Termination If
  141.           you violate any item of use set forth above, this Agreement and
  142.           the license provided hereunder will be terminated, and you agree
  143.           to return the Documentation, Diskette and all copies (if any)
  144.           made therefrom to "Developer" at the address below. Your
  145.           obligations under the Agreement will remain in effect until you
  146.           have returned all those materials. You may voluntarily terminate
  147.           the license by similarly returning the documentation, Diskette
  148.           and all copies to "Developer". If the license is terminated
  149.           automatically, or voluntarily more than thirty (30) days after
  150.           the Delivery Date, you will not be entitled to any refund or
  151.           return of sent materials from "Developer".  General You
  152.           acknowledge that you have read this Agreement, understand it, and
  153.           agree to be bound by its terms. The agreement between you and
  154.           "Developer" regarding the Software, Diskette and Documentation
  155.           consists solely of this User License Agreement. The agreement
  156.           does not include any other prior or contemporaneous promises,
  157.           representations or descriptions regarding the Software, Diskette,
  158.           Documentation, and/or Database Information, even if they are
  159.           contained in materials provided by "Developer".
